Terms of Service

1.1 These Terms of Service (these "Terms") constitute a binding agreement between you and Splashboards Swim Analytics LLC ("Splashboards," "we," "us," or "our") governing your access to and use of the Splashboards website, applications, and related tools (collectively, the "Services"). By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1.2 We may modify these Terms at any time by posting the revised Terms and updating the "Last Updated" date above. Your continued use of the Services following any such change constitutes your acceptance of the revised Terms.

2.1 The Services are intended for use by individuals who are at least 18 years of age. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Coaches and teams may submit performance data regarding athletes who are minors through the Team Dashboard, as described in Section 7. The eligibility requirement in Section 2.1 does not apply to such athletes, who are not themselves required to create an account or accept these Terms.

3.1 To use certain features of the Services, you must create an account and provide information including your name, email address, and role (athlete, coach, or club). You are responsible for maintaining the confidentiality of your password and for all activity occurring under your account.

3.2 The team affiliation you provide at registration is self-reported and is not verified by Splashboards.

3.3 You agree to notify us promptly of any unauthorized use of your account.

4.1 Certain Services are offered on a subscription basis ("Subscriptions") and are billed on a recurring basis at the interval and rate disclosed to you at the time of purchase. Other Services, including the Race Analysis Report, are offered as one-time, per-use purchases.

4.2 Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal. You may cancel your Subscription at any time through your account settings; cancellation takes effect at the end of the then-current billing period, and you will retain access through that date.

4.3 All payments are processed by Stripe, our third-party payment processor. Splashboards does not directly collect or store your full payment card information.

4.4 All fees are non-refundable, including for partial billing periods and one-time purchases, except as required by applicable law.

4.5 We reserve the right to change our fees upon reasonable notice, which may be provided by posting the new fees on the Services or by email. Fee changes apply prospectively to future billing periods.

5.1 In connection with your use of the Services, you may submit data, results, and video footage ("User Content"), including through the Race Pace Calculator, Test Set Calculator, Workout Builder, Race Analysis Report, and Team Dashboard.

5.2 You retain ownership of your User Content. By submitting User Content, you grant Splashboards a non-exclusive, worldwide, royalty-free license to use, host, reproduce, and process your User Content for the purposes of (a) operating and providing the Services to you, and (b) improving our products and conducting internal, aggregate, or de-identified analysis of Service usage and performance.

5.3 We will not use your User Content — including video footage or your likeness — for marketing, promotional, or advertising purposes without your separate, explicit consent, obtained apart from your acceptance of these Terms. Where the individual depicted is a minor, such consent must be obtained from a parent or legal guardian.

5.4 You are solely responsible for your User Content and represent that you have all necessary rights to submit it.

6.1 The Race Analysis Report requires you to upload video footage of a swim. By uploading video footage, you represent and warrant that you are either the individual depicted in such footage, or that you have obtained the permission of the individual depicted — or, where such individual is a minor, the permission of their parent or legal guardian — to upload and share such footage with Splashboards for the purposes described in these Terms and our Privacy Policy.

6.2 You agree to indemnify and hold harmless Splashboards from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your breach of the representation in Section 6.1.

7.1 Coaches and teams using the Team Dashboard may submit result files and performance data regarding their athletes, which may include individuals under the age of 18 (each, an "Athlete Submission").

7.2 By making an Athlete Submission, you represent and warrant that you possess all necessary rights, consents, and authorization — including, where applicable, parental or guardian consent — to submit such information to Splashboards.

7.3 You agree to indemnify and hold harmless Splashboards from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to an Athlete Submission made without proper authorization.

8.1 Your use of the Services is subject to our Prohibited Actions policy, which is incorporated into these Terms by reference. We reserve the right to suspend or terminate your account for violation of these Terms or our Prohibited Actions policy.

9.1 The Services, including all software, calculators, designs, text, graphics, and other content provided by Splashboards (excluding User Content), are owned by Splashboards or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services as intended, no rights are granted to you in our intellectual property.

10.1 The Services provide training and performance data for informational purposes only. The Services do not constitute medical, coaching, or professional advice, and Splashboards does not guarantee the accuracy of any pace target, training zone, or other output generated by the Services. You are solely responsible for your training and competition decisions, including decisions made in reliance on the Services.

10.2 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPLASHBOARDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPLASHBOARDS' TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO SPLASHBOARDS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties; in such jurisdictions, our liability will be limited to the greatest extent permitted by law.

12.1 In addition to the specific indemnification obligations in Sections 6 and 7, you agree to indemnify and hold harmless Splashboards from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Services.

13.1 You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms.

13.2 Sections 5 through 12 and 14 through 16 will survive termination of these Terms.

14.1 These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles.

14.2 Any dispute arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts.

14.3 You and Splashboards agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

15.1 If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

15.2 Our failure to enforce any provision of these Terms is not a waiver of our right to do so.

15.3 These Terms, together with our Privacy Policy and Prohibited Actions policy, constitute the entire agreement between you and Splashboards regarding the Services.

15.4 You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
